Terms of Use

These Terms of Use (the “Terms”) govern your access to and use of the AI+ Local website and services (collectively, the “Service”), operated by AI+ Local (“AI+ Local,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Service.

1. Acceptance of These Terms

By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. These Terms apply to all visitors, registered users, and subscribers. If you use the Service on behalf of a business or other entity, you represent that you are authorized to bind that entity, and “you” refers to that entity.

2. Definitions

• “Service” means the AI+ Local website, its pages and data, and any related features, reports, and communications we provide.
• “Rankings” means the listings, positions, scores, and related measures we publish that are derived from the outputs of third-party AI assistants.
• “AI Assistants” means the third-party generative AI services we query, such as ChatGPT, Gemini, Claude, Perplexity, and Grok.
• “Pro Report” means the paid subscription product that tracks a specific business across the areas it serves.
• “Content” means all text, data, compilations, graphics, and other materials made available through the Service.

3. Eligibility

You must be at least 18 years old and able to form a legally binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements and that your use of the Service complies with all applicable laws and regulations.

4. Nature of the Rankings

AI+ Local publishes Rankings derived from the outputs of third-party AI Assistants. The Rankings describe what those AI Assistants stated in response to our queries at a given point in time. They are observations of AI output, not reviews, endorsements, certifications, or guarantees of any business's quality, qualifications, licensure, or fitness for a particular purpose.

AI Assistant outputs can be incomplete, inaccurate, biased, or inconsistent, and they change over time. The Rankings change with them. The Service is provided for general informational purposes only and does not constitute professional, legal, financial, or other advice. You are solely responsible for any decision you make in reliance on the Service.

5. Business Listings and Pro Reports

Business listings describe publicly available information and the outputs of AI Assistants. A business owner or authorized representative may be associated with a listing or assigned a Pro Report. Doing so never alters a business's Ranking. No business can pay to be listed, ranked, or ranked more favorably; placement is determined solely by the outputs of the AI Assistants.

The Pro Report is offered on a subscription basis. Pricing, billing cycles, and plan capacity are described at the point of purchase. Where payment is collected, it is processed by a third-party payment processor acting as merchant of record, and your purchase is also subject to that processor's terms. Unless stated otherwise at the point of purchase, subscriptions renew automatically until cancelled, and you may cancel at any time with effect at the end of the then-current billing period. Except where required by law, fees already paid are non-refundable.

6. Acceptable Use

You may view, cite, and link to any publicly available page on the Service. You agree that you will not:

• use automated means to scrape, crawl, or harvest the Service in a manner that imposes an unreasonable burden on our infrastructure, or that circumvents any access control or rate limit;
• copy, resell, or systematically extract the Content to build or populate a competing product or database;
• reverse engineer, decompile, or attempt to derive the underlying methodology or source code, except to the extent this restriction is prohibited by applicable law;
• interfere with or disrupt the integrity or performance of the Service, or attempt to gain unauthorized access to any account, system, or data;
• use the Service in any unlawful, infringing, deceptive, or harmful manner, or to misrepresent your identity or affiliation with any person or business.

7. Intellectual Property

The Service, including its selection, arrangement, and compilation of the Content, its design, and the AI+ Local name and logo, is owned by AI+ Local or its licensors and is protected by intellectual property and other laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service for its intended purpose. All rights not expressly granted are reserved.

If you send us feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them for any purpose without restriction or obligation to you.

8. Third-Party Services and Links

The Service relies on and links to third parties, including AI Assistants, payment processors, and external websites and sources. We do not control, and are not responsible for, the content, accuracy, availability, or practices of any third party. Your use of a third-party service is governed by that party's own terms and policies.

9. Disclaimer of Warranties

The Service and all Content are provided “as is” and “as available,” without warranty of any kind, whether express, implied, or statutory, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranty as to the accuracy, completeness, reliability, or timeliness of the Rankings or any other Content. We do not warrant that the Service will be uninterrupted, secure, or error-free. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

10. Limitation of Liability

To the maximum extent permitted by law, in no event will AI+ Local or its operators, suppliers, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or relating to your use of, or inability to use, the Service, even if advised of the possibility of such damages. To the maximum extent permitted by law, our total aggregate liability for all claims relating to the Service will not exceed the greater of the total amount you paid us for the Service in the twelve months before the event giving rise to the claim, or one hundred U.S. dollars (US$100). These limitations form an essential basis of the bargain between you and us.

11. Indemnification

You agree to indemnify, defend, and hold harmless AI+ Local and its operators from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to your use of the Service, your Content, or your breach of these Terms or of any applicable law.

12. Changes to the Service and These Terms

We may modify, suspend, or discontinue any part of the Service at any time. We may also update these Terms from time to time. When we do, we will revise the “Last updated” date above, and material changes take effect when posted. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms or to protect the Service or its users. Upon termination, the rights granted to you under these Terms will cease, and the provisions that by their nature should survive will survive, including Sections 7 through 11, 14, and 15.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, U.S.A., without regard to its conflict-of-laws principles. Before bringing any formal claim, you agree to first contact us at support@aipluslocal.com and to attempt to resolve the dispute informally for a period of at least thirty (30) days.

Any dispute not resolved informally will be settled by binding arbitration on an individual basis, conducted in English under the rules of a recognized arbitration body, rather than in court, except that either party may bring an individual claim in small-claims court or seek injunctive relief for the misuse of intellectual property. To the extent permitted by law, you and AI+ Local agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any class or representative proceeding. If this class-action waiver is found unenforceable, the remainder of this Section will continue to apply.

15. General

These Terms, together with the Privacy Policy, constitute the entire agreement between you and AI+ Local regarding the Service and supersede any prior agreements. If any provision is held unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets. We will not be liable for any delay or failure to perform caused by events beyond our reasonable control.
